Where there is a conflict between these general Terms and a signed client agreement or statement of work, the specific client agreement will control with respect to that engagement.

2. No Guarantee of Results

Marketing, advertising, sales, lead generation, and business-growth activities involve factors outside ELIKY's control.

ELIKY does not guarantee any specific number of leads, sales, customers, revenue, advertising performance, conversion rate, search ranking, or other business result unless expressly stated in a separate written agreement.

3. User and Client Responsibilities

You agree to provide accurate information when communicating with ELIKY or using our website.

Clients are responsible for providing any information, materials, approvals, account access, advertising assets, or other resources reasonably required to perform agreed services.

You may not use ELIKY's website or services for unlawful, fraudulent, abusive, or unauthorized purposes.

4. Fees and Payments

Fees for ELIKY services will be communicated through the applicable proposal, checkout page, invoice, order, or agreement.

Unless otherwise stated, payment terms, billing frequency, cancellations, refunds, and service periods are governed by the terms associated with the relevant service or client agreement.

Third-party costs, including advertising spend, platform fees, messaging charges, software subscriptions, or other external costs, may be separate from ELIKY's service fees unless expressly stated otherwise.

5. ELIKY SMS Messaging Program

ELIKY LLC may send SMS or MMS messages only to individuals who have provided the appropriate consent.

Depending on the type of consent provided, messages may include:

ELIKY sends these messages only on behalf of ELIKY LLC.

How Users Opt In

SMS consent is collected through the ELIKY website chat widget available on eliky.agency.

After your opt-out request is processed, you may receive a final confirmation message indicating that you have been unsubscribed.

After opting out, no further applicable SMS messages will be sent unless you subsequently provide consent again.

Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

Message delivery is subject to effective transmission by your wireless carrier and is outside ELIKY's complete control.

Mobile Number Responsibility

You represent that the mobile number you provide belongs to you or that you are authorized to provide consent for communications to that number.

If your mobile number changes or is transferred to another person, you should notify ELIKY or opt out before discontinuing use of the number.

SMS Privacy

ELIKY does not sell or share SMS opt-in data or personal information with third parties for marketing purposes.

No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

6. Email, WhatsApp, and Other Communications

Where permitted by applicable law and based on your interactions or consent, ELIKY may communicate with you by email, telephone, WhatsApp, social media, or other communication channels.

You may request that marketing communications stop at any time through the applicable unsubscribe or opt-out mechanism.

7. Intellectual Property

Unless otherwise stated, the content of eliky.agency, including text, branding, graphics, designs, trademarks, logos, website elements, and other materials, is owned by or licensed to ELIKY LLC and is protected by applicable intellectual-property laws.

You may not reproduce, distribute, modify, sell, or exploit ELIKY content without authorization except where permitted by law.

Client ownership and licensing rights relating to project deliverables may be governed by a separate agreement.

ELIKY may use or integrate external services, including advertising platforms, CRM systems, analytics tools, communication providers, payment processors, hosting providers, social networks, and other software.

ELIKY does not control external platforms and is not responsible for interruptions, changes, restrictions, account suspensions, outages, or other actions taken by those providers.

Your use of such services may also be subject to the applicable provider's terms and policies.

9. Website Availability

We may modify, suspend, update, or discontinue portions of the ELIKY website or services where reasonably necessary.

We do not guarantee that the website will always be uninterrupted, secure, or error-free.

10. Disclaimer of Warranties

To the extent permitted by applicable law, the ELIKY website and general website content are provided on an “as is” and “as available” basis.

ELIKY disclaims warranties not expressly stated in an applicable written agreement, to the extent permitted by law.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ELIKY LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the use of our website or services.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.

Any additional limitations applicable to paid client services may be established in the relevant service agreement.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold ELIKY LLC harmless from claims, damages, liabilities, or expenses resulting from your unlawful use of our website or services, your violation of these Terms, or materials and information you provide to ELIKY in violation of third-party rights.

13. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except where mandatory applicable law provides otherwise.

When changes are made, the effective date shown at the beginning of this page will be updated.
